1. Agreement

These Terms govern access to and use of the ROBA OS software and related services (the “Service”) offered by iudot Inc. (“iudot,” “we,” “us”), a company organized in Labuan, Malaysia. By creating an account, inviting users, paying for Hosted or Private, or otherwise using the Service, the organization you represent (“Customer”) agrees to these Terms.

2. Early access

ROBA OS is offered as early-access software. Features may change. We do not promise enterprise SLAs unless agreed in a separate signed writing.

3. Two product paths

• Hosted SaaS: multi-tenant hosted ROBA OS operated by iudot (or its processors). Commercial standing band under test: about USD 99–249 per organization per month. Card checkout, when enabled, is processed by a Merchant of Record (Paddle, planned). The MoR’s checkout terms may also apply to the payment.
• Private: per-customer install on a VPS Customer controls (or designates). Standing commercial shape under test: about USD 6,000 install plus about USD 299 per month maintenance, unless a written order says otherwise. Private may be invoiced / paid by wire without a MoR.

Exact amounts are stated at checkout or on the order form. Standing bands on the LP are not a final invoice.

4. Accounts and roles

Early-access Hosted workspaces are provisioned by iudot (invite-only trials); Customer Owners then invite Editors / Viewers. Customer is responsible for workspace accounts, invite links, and roles. Keep credentials confidential. We may suspend accounts that abuse the Service or create legal or security risk.

5. Acceptable use

No unlawful content; no probing or bypassing security; no resale without written consent; no misrepresenting affiliation with iudot or ROBA OS; no using Hosted Customer Data to train competing public models as a product feature. Chat features operate against Customer-registered works (tasks, logs, references, and similar). ROBA OS is not a consumer chatbot and not a counseling / clinical product.

6. Customer Data

Customer retains rights in content submitted to the Service. For Hosted, iudot processes Customer Data to provide and secure the Service (see Privacy Policy). For Private, custody follows the deployment model. We do not claim ownership of Customer’s business records solely because they are stored in ROBA OS.

7. Intellectual property

ROBA OS software, branding, and documentation (excluding Customer Data) remain owned by iudot and its licensors.

8. Fees, taxes, MoR

Fees as stated at checkout or invoice. USD unless stated otherwise. Taxes may be collected by iudot or by the MoR. Non-payment may lead to suspension after reasonable notice.

9. Refunds

See the ROBA OS Refund Policy. Where Paddle (or another MoR) processes the payment, that MoR’s refund mechanics may also apply.

10. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” IUDOT DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IUDOT’S TOTAL LIABILITY IN ANY TWELVE-MONTH PERIOD SHALL NOT EXCEED THE AMOUNTS CUSTOMER PAID FOR THE SERVICE IN THAT PERIOD. NO INDIRECT OR CONSEQUENTIAL DAMAGES. Some jurisdictions limit these caps; then they apply to the fullest extent allowed.

12. Indemnity

Customer will defend and indemnify iudot against third-party claims arising from Customer Data or misuse of the Service, to the extent permitted by law.

13. Suspension / termination

Either party may end Hosted early access as described in the Refund Policy and any order form. We may suspend for breach, non-payment, legal risk, or abuse. After termination, export where tools exist; Hosted data may be deleted after a commercially reasonable window unless law requires longer.

14. Governing law

Draft placeholder for counsel: laws of Labuan, Malaysia, without conflict-of-law rules, unless mandatory local law requires otherwise. ROBA OS is offered as B2B. Payment disputes may also follow Paddle’s forum for card transactions.

15. Changes

We may update these Terms for early access. Material changes posted on the site or sent to Owners. Continued use after the effective date constitutes acceptance where permitted.
